These Terms & Conditions ("Terms") govern your access to and use of our services, including prepaid expense cards, direct debit collection, merchant services, business bank account functionality, and our associated web and mobile platforms. By registering an account or using any part of the service, you agree to these Terms, which form a legal agreement between your business ("Client", "you") and Ubsidi Financial Ltd ("Ubsidi", "we", "our", "us").
Ubsidi Financial Ltd is a UK-based financial technology company. We are not a bank and do not issue financial services ourselves. Instead, we partner with regulated third-party providers, including Stripe, to deliver secure, compliant financial services to our customers.
Stripe, our primary infrastructure provider, is authorised and regulated to issue prepaid cards, facilitate direct debit collections, enable merchant payment processing, and provide business account functionality. These services are delivered under Stripe’s regulatory framework and permissions, and are accessed by Ubsidi through licensed integrations.
Ubsidi also works with additional regulated partners, including banks and payment institutions, to pass through financial services to our customers securely and legally.
By using our platform, you acknowledge that your financial services are provided by one or more of these regulated third-party partners.
You must be a registered business entity operating in the United Kingdom or another supported region. The person registering must have authority to act on behalf of the business.

We may suspend or terminate accounts in cases of misuse, fraud, or breach of these Terms.
Fees may include setup charges, monthly platform access, transaction fees, and charges related to third-party services. All applicable fees are disclosed in your agreement or onboarding process.
We reserve the right to amend pricing with prior notice.
Using our platform, you can initiate direct debit collections from your own customers. This functionality is enabled through our regulated provider (Stripe) and requires appropriate customer authorisation.
Note: You cannot use the service to pay direct debits from your account. It is for inbound payments only.
We provide the ability to accept contactless and card payments via merchant terminals or online payment links. These services are powered by Stripe and governed by their regulatory and compliance frameworks.
You must ensure customer-facing policies, such as refunds and receipts, are clearly defined and compliant.
Prepaid expense cards are issued to authorised users via our regulated card-issuing partner. You are responsible for:
While Ubsidi offers business account features, balances are held with regulated financial institutions through our third-party partners. We do not hold customer funds ourselves.
These accounts are not traditional bank accounts but are built for business use and controlled via our platform.
All personal and financial data is handled in accordance with our [Privacy Policy] and UK data protection laws. Our partners are also compliant with applicable regulations including UK GDPR and PSD2.
You agree not to use the platform or underlying services for:

We may suspend or terminate services for:
You may terminate the service with 30 days’ written notice, subject to settlement of outstanding fees.
To the maximum extent permitted by law:
We may update these Terms occasionally. If changes are material, we will notify you in advance. Continued use of the services constitutes acceptance of the revised Terms.
These Terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales.
